Terms of Use

These Terms of Use set the rules for access to and use of ALETHEIA's public website and digital platform. They are separate from the General Terms of Engagement, which are expressly accepted during Client onboarding and govern the commercial relationship between ALETHEIA and an approved Client.

1. Scope and relationship with other documents

1.1 These Terms of Use set the conditions on which ALETHEIA permits access to and use of aletheiaco.com and the ALETHEIA digital platform. They are made permanently available through the public website footer alongside the Privacy Policy and Cookies notice. ALETHEIA is not introducing a separate Terms-of-Use acceptance gate at this stage. Where Applicable Law requires affirmative assent to a particular term or use, ALETHEIA may implement an appropriate additional notice or acceptance mechanism.

1.2 These Terms of Use govern website and platform use. They do not make your organisation a Client, create an Engagement, require ALETHEIA to approve an application, require ALETHEIA to issue a Proposal, or require ALETHEIA to provide Services.

1.3 If your organisation becomes a Client, its commercial relationship with ALETHEIA is governed separately by the General Terms of Engagement accepted during onboarding, each accepted Proposal and any Agreed Variation. If there is a conflict concerning an Engagement, those Engagement documents prevail to the extent of that conflict.

1.4 ALETHEIA's Privacy Policy explains how ALETHEIA handles personal information. The Privacy Policy is a privacy notice and is not a substitute for these Terms of Use or the General Terms of Engagement.

2. Eligibility and business use

2.1 The platform is designed for business, professional and institutional use across multiple jurisdictions. It is not intended as a consumer service, although mandatory local laws may still protect an individual user and are not waived by these Terms of Use.

2.2 You must be at least 18 years old and legally capable of using the platform. If you use the platform for an organisation, you must have authority appropriate to the actions you take.

2.3 ALETHEIA may require identity, email, authority, organisation, sanctions, compliance or other verification before allowing access to particular features or actions.

3. Accounts, credentials and security

3.1 You must provide accurate account information and keep it reasonably current. You must not impersonate another person or create an account using information you are not authorised to use.

3.2 Your credentials are personal to you. You must keep them confidential, use reasonable security precautions and not share an authenticated session or account with another person.

3.3 You must notify ALETHEIA promptly if you suspect unauthorised access, credential compromise, suspicious activity or misuse of your account.

3.4 ALETHEIA may use password reauthentication, session controls, device/session records and other proportionate security measures before allowing sensitive actions.

3.5 You are responsible for activity carried out through your account to the extent permitted by Applicable Law, except where the activity results from a security failure for which ALETHEIA is legally responsible.

4. Authority and organisation access

4.1 Your account may be associated with an applicant organisation or an approved Client. Access, roles and authorities are determined by ALETHEIA's records and the organisation's authorised instructions.

4.2 A role displayed in the platform does not give you authority beyond the scope recorded by ALETHEIA. You must not attempt to exercise an authority that you do not hold.

4.3 Actions with contractual, financial, access-control or other material consequences may require specific authority and recent authentication.

4.4 If you cease to be authorised by the organisation, or ALETHEIA reasonably believes your authority has changed, ALETHEIA may restrict, suspend or remove your access while the position is verified.

5. Permitted and prohibited use

5.1 You may use the platform only for lawful purposes connected with an application, Client relationship, Service Request, Proposal, Engagement, document exchange, finance administration or other function made available by ALETHEIA.

5.2 You must not use the platform to commit or facilitate fraud, bribery, corruption, sanctions evasion, money laundering, terrorist activity, trafficking, unlawful arms activity, prohibited military activity, unlawful surveillance, export-control breaches or any other unlawful act.

5.3 You must not attempt to gain unauthorised access, bypass access controls, probe or exploit vulnerabilities, interfere with service availability, introduce malware, scrape or harvest data, reverse engineer protected functionality, or use automated tools in a manner that materially burdens or circumvents the platform, unless ALETHEIA has expressly authorised the activity in writing.

5.4 You must not upload content that is unlawful, malicious, knowingly false, infringing, or that you are not authorised to provide.

5.5 You must not use information obtained through the platform to circumvent confidentiality, access, commercial, sanctions, safety or other restrictions that apply to you or your organisation.

6. Information and uploads

6.1 You remain responsible for the accuracy and lawfulness of information you submit and for updating material information where the platform allows or requires it.

6.2 If you upload personal information about another person, you must be authorised to provide it and must have an appropriate lawful basis where data-protection law requires one.

6.3 You retain ownership of materials you submit. You grant ALETHEIA a non-exclusive licence to host, copy, process, transmit, scan, display and provide those materials to authorised recipients only to the extent reasonably necessary to operate the platform, assess an application, administer a prospective or actual Engagement, meet compliance obligations, protect rights or provide the relevant Services.

6.4 Uploads may be subject to malware, security, file-type, size or other checks. ALETHEIA may reject, quarantine or remove files that fail such checks or create a material legal or security risk.

7. Platform actions and electronic records

7.1 Certain actions are intended to create authoritative records, including accepting published terms, submitting an application or Service Request, accepting or responding to a Proposal, issuing or acknowledging finance information, and exercising access or governance controls.

7.2 Where an action has contractual or other material consequences, the platform will identify the action and may require confirmation, appropriate authority and recent authentication.

7.3 ALETHEIA may retain electronic evidence including the relevant document or version, account identity, organisation represented, authority, timestamp, session or assurance evidence, and integrity records such as hashes.

7.4 A draft, status label, message, workflow step, acknowledgement or provisional record does not by itself create an Engagement or another contractual commitment unless the applicable General Terms, Proposal or clearly identified platform action states otherwise.

8. Intellectual property in the platform

8.1 ALETHEIA and its licensors own the platform, software, design, interface, workflows, databases, templates, documentation, branding, methods and related intellectual property, except for material supplied by users or third parties.

8.2 Subject to these Terms of Use, ALETHEIA grants you a limited, revocable, non-exclusive, non-transferable right to access and use the platform for authorised business purposes.

8.3 You may not copy, sell, license, distribute, create derivative works from, or commercially exploit the platform or its protected content except to the extent expressly authorised by ALETHEIA or permitted by Applicable Law.

8.4 If you provide feedback or suggestions, ALETHEIA may use them without restriction or payment, provided this does not transfer ownership of your confidential information or Client materials.

9. Confidentiality and appropriate handling

9.1 The platform may contain confidential commercial, operational, security, personal and financial information. You must access and use such information only for the authorised purpose and must protect it from unauthorised disclosure.

9.2 These Terms of Use do not reduce any confidentiality obligation under the General Terms of Engagement, an Engagement, an employment or consultancy arrangement, or Applicable Law.

9.3 You must not download, export, copy or disclose information merely because the interface technically allows access if doing so would exceed your authority or the permitted purpose.

10. Third-party services and links

10.1 The platform may rely on or link to third-party hosting, communications, document, payment, security or other services. Those providers may have their own terms or privacy notices where you interact with them directly.

10.2 ALETHEIA is responsible for the platform obligations it expressly undertakes but does not control independent third-party services merely because they are linked, integrated or referenced.

11. Availability, maintenance and emergency use

11.1 ALETHEIA will use reasonable efforts to operate the platform securely and reliably but does not guarantee uninterrupted or error-free availability.

11.2 ALETHEIA may maintain, update, restrict or temporarily suspend all or part of the platform for security, maintenance, legal, operational or technical reasons.

11.3 The platform is not an emergency service. Urgent threats to life, safety or security should be handled through the appropriate emergency services and any designated ALETHEIA operational or security channel.

11.4 Where a platform outage affects a material contractual action, ALETHEIA may approve an alternative reliable written or electronic method and preserve the resulting record.

12. Suspension and termination of access

12.1 ALETHEIA may suspend or restrict access where reasonably necessary to protect security, investigate suspected misuse, comply with law, resolve an authority issue, respond to a Client instruction, or protect ALETHEIA, a Client or another person from material risk.

12.2 ALETHEIA may close an Applicant or user account when the relevant application, relationship or authority ends, subject to preserving records that ALETHEIA is entitled or required to retain.

12.3 Suspension or closure of platform access does not itself cancel an Engagement, waive amounts due, erase historical records or alter rights that accrued before the suspension or closure.

13. Liability and relationship to Engagement liability

13.1 Where platform use relates to a Client or Engagement, the liability provisions in the applicable General Terms of Engagement and Proposal govern losses arising out of or in connection with that Engagement.

13.2 Nothing in these Terms of Use excludes or limits liability to the extent it cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct where Applicable Law does not permit limitation.

13.3 To the extent permitted by Applicable Law, ALETHEIA is not liable for indirect or consequential loss arising solely from platform access or temporary unavailability outside an Engagement, or for loss caused by unauthorised use of credentials where ALETHEIA has not breached an applicable legal duty.

13.4 These Terms of Use do not increase, duplicate or override a liability cap, exclusion or remedy that applies under an Engagement.

14. Privacy and cookies

14.1 ALETHEIA handles personal information in accordance with its applicable Privacy Policy and the data-protection, privacy and electronic-communications laws that apply to the relevant processing, which may differ by location.

14.2 The platform may use cookies or similar technologies that are strictly necessary for authentication, session security, fraud or misuse prevention, user-requested functionality and service operation. If ALETHEIA introduces non-essential analytics, advertising or similar technologies, it will provide additional information and obtain consent where required.

15. Changes to these Terms of Use

15.1 ALETHEIA may update these Terms of Use to reflect changes in the platform, law, security practices or business operations.

15.2 ALETHEIA will identify the applicable version and publication date of these Terms of Use.

15.3 ALETHEIA may preserve historical versions and publication records. A revision does not retrospectively alter an Engagement or other completed governed action unless the applicable contractual framework expressly provides otherwise.

16. Governing law and jurisdiction

16.1 These Terms of Use and non-contractual obligations arising out of or in connection with them are governed by the laws of the Syrian Arab Republic, except to the extent a mandatory rule of another applicable jurisdiction cannot lawfully be excluded or varied by agreement.

16.2 Subject to clause 16.4, disputes that cannot reasonably be resolved directly will be submitted to the competent courts of Damascus, Syrian Arab Republic.

16.3 Nothing prevents a party from seeking urgent interim or protective relief from a competent court where reasonably necessary.

16.4 If mandatory local law grants an individual user non-waivable rights, remedies, forum protections or regulator access, nothing in these Terms of Use is intended to exclude those rights. ALETHEIA may provide jurisdiction-specific supplemental terms where appropriate. If a supplement expressly applies to you, it forms part of these Terms of Use and prevails only to the extent of an inconsistency within its stated scope.

17. General provisions

17.1 If a provision of these Terms of Use is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, without affecting the remaining provisions.

17.2 A failure or delay by ALETHEIA to exercise a right does not waive that right.

17.3 You may not assign or transfer your account or rights under these Terms of Use without ALETHEIA's written consent.

17.4 These Terms of Use, together with any documents expressly incorporated into them, constitute the agreement governing your use of the platform itself. Engagement documents remain separate as described in clause 1.
